Metaplanet Cuts Warrants to Lift Bitcoin Per Share 8.8%

Metaplanet filed an overhaul of its Series 10 stock acquisition rights with the Tokyo Stock Exchange on September 11, bowing to a wave of shareholder anger. The message from Asia's largest listed bitcoin holder is blunt: fewer potential shares, more bitcoin behind each one.

The warrant pool gets gutted

The company cancels 131.3 million potential shares tied to management compensation. The unexercised pool shrinks 55.5% net, with the headline Series 10 rights down 41%. In market terms, the move extinguishes more than $220 million in warrant value. CEO Simon Gerovich says the reset wipes out precisely the compensation that the floating mechanism had handed management at shareholders' expense.

No new bitcoin, just a smaller denominator

The lever here is the denominator, not the balance sheet. Metaplanet buys no additional bitcoin. It simply spreads its existing stack across fewer shares. That lifts bitcoin per fully diluted share by 8.8%. For shareholders, the number that matters is not the absolute pile of bitcoin on the books but the slice that mathematically backs each share. The conversion ratio also snaps back to 1:410, the level in place before the September 2025 international offering, after being fixed at 1:696 on August 18. What remains vests in thirds across 2029, 2030 and 2031.

What it means for the treasury trade

The episode exposes the soft spot in the treasury model. When a company grows mainly by issuing stock, it dilutes existing holders the moment its premium to net asset value fades. That is exactly what happened at Metaplanet after September 2025, as each raise bought less bitcoin per share than the last. This is a governance signal, not a demand shock: it does nothing for spot bitcoin, but potentially plenty for how the treasury equities are priced. By resetting the pool, Metaplanet is signaling it intends to run its capital policy against that yardstick. Anyone holding Strategy, Metaplanet or the copycats should watch bitcoin yield per share more closely than the next record holdings headline.
